Legal Disclaimer & Content Usage Policy

Binding Effect and Acceptance of Terms

By accessing, interacting with, or utilizing any of SOL’s platforms—including but not limited to the SOL Music & Media App, SOL Shopping Network, SOL TV, and all affiliated or successor services and business properties (collectively, the “SOL Platforms”)—you (“User”) hereby irrevocably accept and agree to be bound by the following terms, conditions, and disclaimers, without limitation or reservation. Your continued use constitutes express and informed consent under applicable contract, privacy, and digital rights laws.

 

1. Content Ownership, Licensing & Usage Restrictions

The SOL Platforms may host content originating from a wide array of sources, including but not limited to user-generated media, licensed works, public domain materials, and Creative Commons assets. Any such content is subject to applicable intellectual property regimes, including but not limited to:

  • U.S. Copyright Act, 17 U.S.C. §§ 101 et seq.

  • Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512

  • Berne Convention and WIPO treaties

  • EU Directive 2019/790 on copyright in the digital single market

Users posting content to SOL Platforms grant SOL Sound of Life Media LLC (“SOL”) a worldwide, perpetual, royalty-free, irrevocable license to use, display, modify, reproduce, distribute, and create derivative works from such content in any media format, for any lawful purpose. This license is granted without further notice, attribution, or compensation unless explicitly agreed otherwise in writing.

All use of content obtained via the SOL Platforms is limited to lawful, non-infringing purposes, and must not violate copyright, trademark, publicity, or moral rights under local or international law.

 

2. Indemnification & Third-Party Liability Waiver

By using any SOL Platform, you agree to defend, indemnify, and hold harmless SOL, its officers, employees, agents, contractors, partners, licensors, and affiliates (collectively, the “SOL Entities”) from any and all claims, demands, liabilities, damages, losses, or legal proceedings—whether direct or indirect—arising from:

  • User-uploaded or shared content

  • Any breach of intellectual property rights

  • Defamation, privacy violations, or publicity rights infringements

  • Unauthorized use of the Platforms or circumvention of security protocols

Pursuant to 47 U.S.C. § 230 of the Communications Decency Act, SOL assumes no liability for third-party content and shall not be deemed the publisher or speaker of any such materials.

 

3. Compliance, Enforcement & Jurisdiction

The SOL Platforms and data practices are governed by and operate in compliance with the following, as amended:

  • General Data Protection Regulation (GDPR) (EU) 2016/679

  • California Consumer Privacy Act (CCPA) and CPRA

  • Children’s Online Privacy Protection Act (COPPA)

  • Federal Arbitration Act, 9 U.S.C. §§ 1–16

  • Applicable state and international consumer protection statutes

Any attempt to reverse-engineer, extract data, undermine platform operations, or bring legal action against SOL in bad faith shall be met with aggressive legal defense and countersuit where appropriate. All disputes shall be resolved via binding arbitration in Los Angeles County, California, and Users explicitly waive any right to class-action litigation, jury trial, or alternative jurisdiction.

 

4. Limitation of Liability & Warranty Disclaimer

To the fullest extent permitted under applicable law, the SOL Entities shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages—including, but not limited to, loss of revenue, data, reputation, or goodwill—arising from:

  • Use or inability to use the SOL Platforms

  • Errors, interruptions, delays, or unauthorized access

  • Reliance on user-generated content or platform features

All services are provided “as is” and “as available”, without any express or implied warranties, including merchantability, fitness for a particular purpose, title, or non-infringement, under U.C.C. § 2-314 and equivalent international law.

 

5. Acceptance & Enforcement

By continuing to use the SOL Platforms, you affirmatively acknowledge and agree that you are bound by this Legal Disclaimer, the SOL Terms & Conditions of Use, the Data Privacy Policy, and all incorporated policies and notices. If you do not accept these terms, you must immediately cease all access to SOL Platforms.

Failure to comply may result in suspension, termination, and legal action, including injunctive relief and monetary damages.

This Legal Disclaimer is issued pursuant to SOL’s duty to disclose under relevant laws and to preserve its rights in any forum. Users are strongly encouraged to consult with a licensed attorney if they do not understand any portion of these terms.
